Welcome to Haiven Memory! These Terms of Service ("Terms") govern your use of Haiven Memory's services, including our web application, Chrome extension, and API integrations (collectively, the "Service"). By using our Service, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using Haiven Memory, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Haiven Memory is an AI-powered memory intelligence system that:

• Captures and stores memories you explicitly save from AI conversations
• Provides proactive context injection across multiple AI platforms (ChatGPT, Claude, Grok, Perplexity, Gemini)
• Uses machine learning to organize and retrieve relevant memories
• Operates as an "invisible presence" - providing context without requiring you to actively search

3. Beta Service Disclaimer

During the beta period:

• No Warranty: The Service is provided "as is" without warranties of any kind
• Service Changes: Features may be added, modified, or removed based on feedback
• Data Backup: While we maintain secure backups, we recommend exporting important memories
• Service Availability: We strive for 99% uptime but cannot guarantee uninterrupted access during beta
• Free Pricing: The Service is currently free. We will provide 30 days notice before any pricing changes

4. User Accounts

4.1 Account Creation

• You must create an account to use Haiven Memory
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• One account per person (no sharing accounts)

4.2 Account Requirements

• You must be at least 13 years old to use this Service
• You must provide accurate information when creating your account
• You must not impersonate others or misrepresent your identity

5. User Content and Data

5.1 Your Content

• Ownership: You retain all rights to the memories and content you save
• License: You grant us a license to store, process, and display your content to provide the Service
• Responsibility: You are responsible for the content you save

5.2 Prohibited Content

You may not use Haiven Memory to store:

• Illegal content or content that violates any laws
• Malware, viruses, or malicious code
• Content that infringes others' intellectual property rights
• Spam, phishing attempts, or scam content
• Content that harasses, threatens, or promotes violence
• Private information of others without their consent

6. Acceptable Use

You agree to:

• Personal Use: Use the Service for personal memory management
• No Abuse: Not abuse, harass, or harm the Service or other users
• No Exploitation: Not attempt to reverse engineer, hack, or exploit vulnerabilities
• No Scraping: Not scrape, crawl, or use automated tools to access the Service without permission
• Rate Limits: Respect API rate limits and usage quotas

7. Chrome Extension and Integrations

7.1 Extension Permissions

Our Chrome extension requests minimal permissions:

• storage: To save your settings and preferences
• tabs: To capture page URLs when you save memories
• activeTab: To access content only when you explicitly save
• notifications: To notify you of successful saves

7.2 Third-Party Platform Integration

Haiven Memory integrates with third-party AI platforms (ChatGPT, Claude, etc.). We are not responsible for:

• Changes to third-party platform APIs or functionality
• Third-party platform service interruptions
• Third-party platform terms of service

8. Privacy and Data Security

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your data.

• Encryption: All data is encrypted in transit (HTTPS) and at rest
• Access Control: Only you can access your memories (plus authorized service providers for processing)
• Data Deletion: You can delete your memories or account at any time
• Data Export: You can export your data in standard formats

9. AI and Machine Learning

Haiven Memory uses AI and machine learning to:

• Generate embeddings for semantic search
• Classify memories into relevant categories ("Worlds")
• Extract entities, relationships, and intent from your content
• Provide proactive context suggestions

AI Providers: We use OpenAI and Groq for AI processing. Your content is processed according to their respective privacy policies and our data processing agreements.

10. Intellectual Property

10.1 Haiven's IP

Haiven Memory, including our:

• Software, algorithms, and source code
• Trademarks, logos, and branding
• Documentation and user interfaces
• Patents and proprietary technology

...are owned by Haiven and protected by copyright, trademark, and other intellectual property laws.

10.2 Your IP

You retain all intellectual property rights to the content you create and save in Haiven Memory.

11. Service Modifications and Termination

11.1 Service Changes

We reserve the right to:

• Modify or discontinue features with reasonable notice
• Update these Terms (we'll notify you of material changes)
• Change pricing after the beta period (with 30 days notice)

11.2 Account Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse the Service or harm other users

You may delete your account at any time from your account settings.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Haiven Memory is provided "as is" without warranties
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to $100 or the amount you paid us (whichever is greater)
• We are not responsible for data loss (please maintain backups)
• We are not liable for third-party service interruptions

13. Indemnification

You agree to indemnify and hold Haiven harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of others
• Content you submit to the Service

14. Dispute Resolution

14.1 Informal Resolution

Before filing any claim, you agree to contact us at hello@safehaiven.com to attempt to resolve the dispute informally.

14.2 Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles.

14.3 Arbitration

Any disputes that cannot be resolved informally will be resolved through binding arbitration in accordance with the American Arbitration Association rules.

15. General Provisions

15.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Haiven.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

15.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any successor or acquirer.

16. Beta Feedback Program

As a beta user, we encourage you to:

• Report bugs and technical issues
• Share feature requests and ideas
• Provide feedback on the "invisible presence" experience
• Help us understand your "Instagram Stories for your mind" use cases

Feedback you provide may be used to improve the Service without compensation, though we greatly appreciate your contributions!
